1. Acceptance of Terms

By accessing or using this website, purchasing services, or engaging in any communication with Naja Hall Agency, you agree to be bound by these Terms of Use and all applicable laws and regulations.
If you do not agree, please do not access or use this website or our services.

These Terms apply to all offerings under NajMaHall LLC, including but not limited to consulting, coaching, digital content, media production, brand strategy, corporate training, and any future services or products provided by the Agency.


2. Scope of Services

Naja Hall Agency operates as a consultancy specializing in organizational strategy, communication systems, creative direction, and leadership development.
Our services may include — but are not limited to — the following categories:

  • Consulting and strategic planning

  • Digital media and creative execution

  • Workshops, trainings, and speaking engagements

  • Brand and communications strategy

  • Online courses, memberships, and downloadable materials

We reserve the right to modify, expand, or discontinue any service at any time without prior notice.


3. Intellectual Property Rights

All content, frameworks, methodologies, training materials, visuals, written copy, logos, and digital products created by Naja Hall Agency remain the exclusive intellectual property of NajMaHall LLC.
You may not reproduce, distribute, modify, or use any materials for commercial purposes without express written permission.

Clients purchasing consulting or digital services receive a limited, non-exclusive, non-transferable license to use deliverables solely for their intended business purpose. Any reuse, resale, or public dissemination requires prior written consent.


4. Confidentiality and Data Handling

Both parties agree to maintain the confidentiality of all proprietary information shared in the course of any project or engagement.
We handle all personal and corporate data in compliance with applicable U.S. privacy laws, including the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR) where applicable.

Corporate clients agree to ensure their employees and representatives follow similar confidentiality standards.


5. B2B and Corporate Engagements

For business-to-business (B2B) projects, a separate Statement of Work (SOW) or Service Agreement may be executed to define project terms, scope, and deliverables.
The terms outlined here shall apply in conjunction with any signed agreements.
In the event of a conflict, the executed SOW or contract shall govern.


6. Payments and Billing

All fees must be paid in full as stated at checkout or within the terms of your invoice or contract.
Failure to make payment may result in suspension or termination of services.

We reserve the right to update pricing or payment structures at any time.


7. Refunds and Cancellations

All sales are final unless otherwise stated in writing.
Refunds are granted solely at the discretion of NajMaHall LLC under the following framework:

  • Consulting and Coaching Services: Non-refundable once sessions or project work have commenced.

  • Corporate Retainers: May be canceled in accordance with contractual notice periods; partial refunds are subject to administrative deductions.

  • Digital Products, Templates, and Courses: Non-refundable once accessed, downloaded, or delivered.

  • Events and Workshops: Tickets or enrollments may be transferable but are non-refundable unless canceled by the Agency.


8. Limitation of Liability

Under no circumstances shall NajMaHall LLC, Naja Hall Agency, or any affiliated personnel be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or business interruption.

In all cases, liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim.


9. Professional and Results Disclaimer

Our content and services are for educational and informational purposes only.
While our methods and frameworks are based on professional expertise and research, no results are guaranteed. Outcomes depend on individual implementation, organizational dynamics, and external factors beyond our control.

Nothing on this website or in our materials constitutes legal, financial, or medical advice.


10. Future Services Clause

These Terms govern all current and future offerings, including any programs, publications, or media initiatives not yet released.
Use of any future service will constitute acceptance of the most current version of these Terms.


11. Dispute Resolution

All disputes arising from these Terms or related to Naja Hall Agency’s services shall be resolved through binding arbitration or mediation in New York County, New York.
Both parties waive the right to trial by jury.

You agree that any legal action or proceeding between you and NajMaHall LLC shall be brought exclusively in the state or federal courts of New York County.


12. Governing Law

These Terms are governed by and construed under the laws of the State of New York, without regard to conflict of law principles.


13. Modifications

We may update these Terms at any time. Updates will be reflected on this page with the revised effective date.
Continued use of the site or services constitutes acceptance of the revised Terms.
